1. Who We Are
“BLDTechCo” is the trading name used by BLD Technology Co., a business operated by its three founders from Port Washington, New York. Formation of a limited liability company is in progress and is not yet complete. Until it is, references to “BLDTechCo,” “we,” “us” or “the company” mean the founders operating that business, not a registered corporate entity.
These Terms govern your use of bldtechco.com and continuity.bldtechco.com (together, “the website”) and, where applicable, any product or services engagement with us. By using the website or engaging us, you agree to them.
2. Using This Website
This website is provided for general information about BLDTechCo and the products we build. You agree not to use it in violation of any law, attempt to gain unauthorised access to it or its infrastructure, introduce malicious code, scrape or systematically extract content except as our robots directives permit, or place unreasonable load on our servers.
Nothing on this website is an offer, a contract, a warranty of any particular result, or professional advice. Product descriptions describe products as planned or in development and are not a guarantee of any specific feature, price, availability or launch date.
3. Continuity — Status and Subscription Terms
Continuity is in development and is not currently available for purchase. Nothing on this website is an offer to sell it, and no contract for its supply is formed by reading these pages or contacting us about it.
When it becomes available the following will apply, and the full subscription agreement presented at sign-up will control over this summary in the event of conflict:
- Price: set per business account, based on the features and volume you need, and agreed with you in writing before any subscription starts. We do not publish a flat rate, and nothing on this website is a price quote.
- Billing: monthly in advance unless your written order says otherwise, cancellable at any time with effect from the end of the current billing period. No minimum term unless your written order states one.
- Demonstrations: any demo we show you or give you access to runs on sample data, is provided for evaluation only, and may differ from the released product.
- What it does: Continuity (a) sends follow-up emails on quotes you supply, on a cadence you configure, stopping when a reply is detected; and (b) prepares pay application figures and calculates retainage from the contract, change-order and progress details you provide. It works alongside your existing systems and does not replace them.
- Pay applications and retainage — numbers only: Continuity tracks and calculates figures. It never holds, collects, transfers or disburses money, and it is not a payment processor, escrow, bank, or accounting, tax or legal service. Its calculations are only as accurate as the information entered. You are responsible for checking every figure against your contract, schedule of values and the requirements of the party you bill before you submit anything.
- Your content and your customers: quotes, contacts and message content you put into Continuity remain yours. You are responsible for having a lawful basis to contact the recipients you add, and for the accuracy of the addresses you supply.
- Acceptable use: Continuity may not be used for unsolicited bulk email, for recipients who have asked you to stop, or for anything that would breach the CAN-SPAM Act or equivalent law where the recipient is. We may suspend an account that does.
- Channel: Continuity follows up by email. It does not send text messages or place calls.
We make no promise that Continuity will recover any particular quote, improve any close rate, speed up any payment, or produce any specific financial result. Figures discussed in sales conversations or drawn from third-party research describe the category and are not a representation about your business.
4. Services Engagements
Separately from our products, BLDTechCo takes on client work: website development, research and personalisation deliverables, and digital services including SEO, social media and marketing. Scope, deliverables, timeline and fees for each engagement are agreed in writing before work begins. Work outside the agreed scope requires a written change order.
Minimum engagement periods apply to recurring services and are stated in the written proposal. Cancelling before the end of a minimum period does not waive payment for the remaining contracted months.
Results disclaimer
We do not guarantee specific search rankings, specific advertising performance, or any particular commercial outcome. Where we manage advertising, ad spend is paid directly to the platform and we charge only a management fee; pausing spend does not waive that fee during a contracted period. SEO work typically takes several months to show effect.
5. Payment
Unless the written proposal says otherwise: one-time projects require a deposit before work begins with the balance due on delivery and approval; recurring services are billed in advance on the same date each month. Services may be paused on accounts more than seven days overdue. Accepted payment methods are stated on the invoice.
6. Client Responsibilities
To enable timely delivery you agree to provide required materials (logos, photographs, copy, access credentials) within three business days of request; respond to questions and approvals within three business days; give consolidated written feedback rather than scattered messages; designate a single point of contact; and warrant that any content, brand assets or data you provide are lawful for our use and do not infringe anyone else’s rights.
7. Ownership and Intellectual Property
On full payment you own the completed deliverables produced specifically for your business under a services engagement — the website, custom code, written content and graphics. We retain ownership of pre-existing materials, generic tools, libraries, frameworks, methodologies and know-how used to create them, and grant you a perpetual, non-exclusive licence to use those embedded elements as part of the deliverables. We retain the right to display non-confidential completed work in our portfolio unless agreed otherwise in writing.
Continuity is licensed, not sold. A subscription grants a non-exclusive, non-transferable right to use the service for its duration and transfers no ownership in the software.
All content on this website — the BLDTechCo and Continuity names, wordmarks, copy, photography and page design — remains the property of BLDTechCo or its licensors. Typefaces used here are licensed under the SIL Open Font License; those licences ship with the font files.
8. Confidentiality
Each party will treat the other’s confidential information with at least reasonable care and will not disclose it without written permission, except where required by law. This does not cover information already public, independently developed, or rightfully received from a third party.
9. Cancellation
Continuity subscriptions may be cancelled at any time, effective at the end of the current billing month. Services engagements may be terminated for material breach on fifteen days’ written notice with an opportunity to cure; on termination you pay for work performed through that date and we deliver work in progress in its then-current form. Recurring services cancelled after any minimum period require thirty days’ written notice.
10. Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, THIS WEBSITE, ALL PRODUCTS AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND BLDTECHCO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to this website, any product, or any services engagement shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost business, lost data or business interruption, even if advised of the possibility.
We are not liable for third-party platform outages, changes to search or advertising algorithms, the deliverability decisions of any email provider, or amounts billed, paid or withheld on the basis of pay-application figures submitted without being checked against the governing contract.
12. Disputes and Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The parties will first attempt direct written negotiation within seven business days, then mediation before a mutually agreed neutral third party. Any dispute not resolved that way shall be brought exclusively in the state or federal courts located in Nassau County, New York, and the parties consent to personal jurisdiction there.
13. Changes to These Terms
We may update these Terms. Updated terms apply to new engagements and to renewals after the update date; existing contracted work continues under the terms in place when it was signed. Material changes are posted here with a revised effective date.
